  6.                              (PROTOTYPE VERSION)

  8. 1. Subject to all of the terms and conditions of this license, MDL
  9. Information Systems, Inc. ("MDL") grants to you a non-exclusive,
  10. non-transferable, non-sublicensable, limited license to use this
  11. prototype version of the MDL Chemscape Chime software (the 
  12. "Software"), in binary executable form for evaluation and trial 
  13. use purposes only. THIS SOFTWARE CONTAINS CODE THAT 
  14. DISABLES FEATURES AFTER DECEMBER 31st, 1996.

  16. 2. You may: use the Software on any single computer; use the
  17. Software on a second computer so long as the first and second
  18. computers are not used simultaneously; or copy the Software
  19. for archival purposes, provided any copy must contain all of 
  20. the original Software's proprietary notices.

  22. 3. You may not: permit other individuals to use the Software except
  23. under the terms listed above; modify, translate, reverse engineer, 
  24. decompile, disassemble (except to the extent applicable laws 
  25. specifically prohibit such restriction), or create derivative works
  26. based on the Software; rent, lease, transfer or otherwise transfer
  27. rights to the Software; or remove any proprietary notices or labels
  28. in the Software.

  30. 4. MDL reserves the right at any time to alter prices, features,
  31. specifications, capabilities, functions, licensing terms, release
  32. dates, general availability or other characteristics of the
  33. commercial release.

  35. 5. Notwithstanding anything to the contrary, all right, title and
  36. interest in and to the Software and all intellectual property and all
  37. property rights thereof shall remain with MDL and/or its licensors. 
  38. The Software is protected by the copyright laws of the United States
  39. and international copyright treaties. This license gives you no rights
  40. in any data, information or other content accessed through the
  41. Software.

  43. 6. MDL MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THIS
  44. SOFTWARE OR ABOUT ANY CONTENT OR INFORMATION MADE
  45. ACCESSIBLE BY THE SOFTWARE, FOR ANY PURPOSE. THE SOFTWARE
  46. IS PROVIDED  'AS IS' WITHOUT EXPRESS OR IMPLIED WARRANTIES,
  47. INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
  48. PARTICULAR PURPOSE OR NONINFRINGEMENT. THIS SOFTWARE IS
  49. PROVIDED GRATUITOUSLY. MDL WILL NOT SUPPORT THIS SOFTWARE
  50. AND WILL NOT ISSUE UPDATES TO THIS SOFTWARE.

  52. 7. NEITHER MDL NOR ITS SUPPLIERS SHALL BE LIABLE IN CONNECTION
  53. WITH THE SOFTWARE FOR (a) INCIDENTAL, CONSEQUENTIAL, SPECIAL
  54. OR INDIRECT DAMAGES OF ANY SORT, WHETHER ARISING IN TORT,
  55. CONTRACT OR OTHERWISE, EVEN IF MDL HAS BEEN INFORMED OF THE
  56. POSSIBILITY OF SUCH DAMAGES, OR (b) FOR ANY CLAIM BY ANY OTHER
  57. PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO 
  58. LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT 
  59. APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME
  60. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
  61. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND
  62. EXCLUSION MAY NOT APPLY TO YOU.

  64. 8. You may terminate this License at any time by destroying or
  65. erasing your copy of the Software. Upon termination of this License, 
  66. or in any event within thirty (30) days following MDL's release of a 
  67. commercial version of the Software, you agree to destroy or erase
  68. the Software. In the event of termination, the following sections of
  69. this License will survive: 5, 6, 7, 8 and 9. This License is personal
  70. to you and you agree not to assign your rights herein. This License 
  71. shall be governed by and construed in accordance with the laws of 
  72. the State of California and the United States of America without 
  73. regard to conflicts of laws provisions thereof, as to matters 
  74. affecting copyrights, trademarks and patents, by U.S. federal law. 
  75. This License sets forth the entire agreement between you and MDL
  76. regarding the Software.

  78. 9. You may not download or otherwise export or reexport the Software
  79. or any underlying information or technology except in full compliance
  80. with all United States and other applicable laws and regulations. In
  81. particular, but without limitation, none of the Software or underlying
  82. information or technology may be downloaded or otherwise exported 
  83. or reexported (i) into (or to a national or resident of) Cuba, Haiti,
  84. Iraq, Libya, Yugoslavia, North Korea, Iran, or Syria or (ii) to anyone
  85. on the US Treasury Department's list of Specially Designated 
  86. Nationals or the US Commerce Department's Table of Deny Orders.
  87. By downloading the Software, you are agreeing to the foregoing 
  88. and you are representing and warranting that you are not located
  89. in, under control of, or a national or resident of any such country
  90. or on any such list.
